Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Maxwriter.
Maxwriter (“Maxwriter”, “we”, “us”, or “our”) is a software product operated by Gearro, UAB, a company registered in Lithuania.

By creating an account, starting a trial, purchasing a subscription, or otherwise using Maxwriter, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use Maxwriter.
1. The Service
Maxwriter is a software tool designed to help users plan, create, improve, manage, and analyze professional content, including content for LinkedIn. Depending on the features available to your account, Maxwriter may provide functionality such as:
- AI-assisted content generation and editing;
- personalized writing based on information and content you provide;
- content ideas and inspiration;
- analysis of publicly available content;
- content planning and scheduling;
- content performance analysis;
- integrations with LinkedIn and other third-party services; and
- other related content and productivity features.
We may add, change, remove, or improve features over time.
2. Your Account
You must provide accurate information when creating or using your Maxwriter account.
You are responsible for keeping your login credentials secure and for activity performed through your account. You must notify us promptly if you believe your account has been accessed or used without authorization.
You must be at least 18 years old, or otherwise legally capable of entering into a binding agreement in your country, to use Maxwriter. You may not impersonate another person, create an account using false information, or use another person’s account without authorization.
3. LinkedIn and Publicly Available Content
Maxwriter is designed primarily for users creating and managing professional content, including LinkedIn content. Certain Maxwriter features may process publicly available information from LinkedIn or other online sources.
We may use third-party service providers, including Apify, to retrieve certain publicly available information used to provide features such as content inspiration, analysis, and personalization. Such information may include publicly available posts, engagement information, profile information, or other content that is publicly accessible at the time it is retrieved.
The availability and accuracy of third-party content may change, and Maxwriter does not guarantee that publicly available information will always remain available or current. You are responsible for how you use inspiration, examples, suggestions, or other third-party content presented through Maxwriter. Maxwriter does not grant you ownership of third-party content or any rights beyond those available to you under applicable law.
4. LinkedIn Integrations
Where an official LinkedIn integration is available and authorized, Maxwriter may allow you to connect your LinkedIn account through LinkedIn’s authorization process.
If you connect your LinkedIn account, you authorise Maxwriter to access it through LinkedIn’s official authorisation (OAuth) and, at your direction, to publish posts and submit comments and reactions that you have created and approved. Maxwriter acts only when you take an action; it does not post, comment, or engage on your behalf automatically. You can disconnect your LinkedIn account at any time.
Maxwriter does not require your LinkedIn password.
By connecting your LinkedIn account, you authorize Maxwriter to access and process the information and permissions that you choose to grant through LinkedIn for the purpose of providing the relevant Maxwriter features. Depending on the permissions available and the features you use, this may include information relating to your own LinkedIn account, content, or analytics.
Where supported, Maxwriter may also transmit content or other supported actions to LinkedIn on your behalf when you explicitly initiate or authorize that action through Maxwriter. You remain responsible for the content you publish and for ensuring that your use of Maxwriter and LinkedIn complies with applicable laws and LinkedIn’s terms and policies. You may revoke Maxwriter’s LinkedIn authorization through LinkedIn or disconnect the integration where that functionality is available.
LinkedIn is an independent third-party service. We do not control its availability, APIs, policies, features, or enforcement decisions. Maxwriter is not endorsed by or affiliated with LinkedIn Corporation unless expressly stated otherwise.
5. AI-Generated Content
Maxwriter uses artificial intelligence to generate, rewrite, analyze, and suggest content. AI-generated output may occasionally be inaccurate, incomplete, inappropriate, or similar to content generated for other users.
You are responsible for reviewing, editing, and approving any content before you publish or send it, and for the consequences of publishing it. You are responsible for ensuring that content you publish:
- is accurate where accuracy matters;
- complies with applicable law;
- does not infringe intellectual property, privacy, confidentiality, or other rights;
- does not misrepresent another person or organization; and
- complies with the rules of the platform where you publish it.
Maxwriter does not guarantee any particular level of reach, engagement, follower growth, leads, revenue, or other business result.
6. Your Content
You retain your rights in the content, information, drafts, ideas, notes, and other materials you provide to Maxwriter. To the extent permitted by applicable law, we do not claim ownership of content generated specifically for you through Maxwriter.
You grant Gearro, UAB a limited, non-exclusive right to host, store, reproduce, process, modify, and transmit your content only as reasonably necessary to operate, maintain, secure, and provide Maxwriter, including transmitting content you approve to LinkedIn on your behalf where you use that feature.
You represent that you have the rights necessary to provide the content and information you submit and to authorize us to process it for these purposes. Our handling of personal data is described in our Privacy Policy.
7. Third-Party Content and Services
Maxwriter relies on third-party providers to operate certain features. These may include services for hosting, authentication, databases, artificial intelligence, publicly available data retrieval, payment processing, analytics, and third-party platform integrations. Third-party services may include providers such as Supabase, Vercel, Anthropic, Google, Apify, Stripe, PostHog, LinkedIn, and other providers we may use from time to time.
Maxwriter integrates with third-party platforms including LinkedIn, Google, and Stripe. Your use of LinkedIn through Maxwriter is also governed by LinkedIn’s own User Agreement and policies. Our access to and use of the LinkedIn APIs complies with the LinkedIn API Terms of Use. Maxwriter is an independent product and is not affiliated with, sponsored, or endorsed by LinkedIn Corporation or Microsoft.
Third-party services operate independently and may change their availability, functionality, pricing, APIs, policies, or terms. We are not responsible for interruptions or changes caused by third-party services that are outside our reasonable control. Links, examples, posts, profiles, or other third-party content displayed or referenced through Maxwriter remain subject to the rights and terms applicable to their original sources.
8. Maxwriter Intellectual Property
Maxwriter’s software, interfaces, workflows, design, branding, documentation, technology, and other materials created by or for Gearro, UAB are owned by Gearro, UAB or its licensors and are protected by applicable intellectual-property laws. These Terms give you a limited right to use Maxwriter while your account is active. They do not transfer ownership of Maxwriter or its underlying technology to you.
You may not copy, sell, license, reproduce, reverse-engineer, decompile, or commercially exploit Maxwriter or its underlying software except where applicable law expressly permits it.
9. Acceptable Use
You are solely responsible for the content you create, publish, or submit through Maxwriter, and for ensuring it complies with LinkedIn’s User Agreement, Professional Community Policies, and applicable law.
You agree not to use Maxwriter to:
- violate applicable laws or regulations;
- infringe intellectual property, privacy, confidentiality, or other rights;
- create or distribute unlawful, fraudulent, deceptive, abusive, or malicious content;
- send spam or bulk unsolicited content;
- perform automated, deceptive, or artificial engagement (such as fake or inauthentic likes, comments, reactions, or follows);
- scrape or collect data in violation of any third party’s terms;
- impersonate another person or misrepresent your identity or affiliation;
- gain unauthorized access to Maxwriter, another user’s account, or third-party systems;
- interfere with the operation, security, or integrity of Maxwriter;
- circumvent technical restrictions, access controls, rate limits, or security measures;
- use automated systems to access Maxwriter in a manner we have not expressly authorized;
- use Maxwriter or its integrations in a way that violates the applicable terms or policies of third-party platforms, including LinkedIn; or
- use Maxwriter to facilitate spam, unauthorized automated activity, or platform manipulation.
We may suspend, restrict, or terminate access where reasonably necessary to prevent abuse, protect users, comply with law, or protect Maxwriter or third-party services.
10. Subscriptions, Trials, and Payments
Some Maxwriter features require a paid subscription. Current plans, prices, billing periods, trial conditions, and included features are shown on our website or during checkout. Payments are processed by our third-party payment provider, Stripe.
If you start a free trial that requires a payment method, your subscription may automatically convert into a paid subscription at the end of the trial unless you cancel before the trial ends. Paid subscriptions renew automatically at the applicable billing interval unless cancelled before the next renewal date. You authorize us and our payment service provider (Stripe) to charge the payment method you provide for subscription fees and applicable taxes.
You may cancel your subscription at any time. Unless otherwise stated, cancellation stops future renewals and you may continue using paid features until the end of your current paid billing period. Payments already made are non-refundable except where required by applicable law or where we expressly state otherwise.
We may change subscription prices or plans. Where required by law, we will provide reasonable advance notice before a price change applies to an existing subscription. Nothing in these Terms limits any mandatory rights you may have under applicable consumer-protection law, including any statutory withdrawal or refund rights that apply to you as an EU consumer.
11. Privacy and Data Protection
Our collection and processing of personal data is governed by our Privacy Policy. Where Maxwriter processes information obtained from third-party platforms or service providers, we process that information in accordance with applicable legal and contractual requirements. You are responsible for ensuring that personal, confidential, or third-party information you submit to Maxwriter may lawfully be provided and processed for the purpose for which you use the service.
12. Availability and Changes to the Service
We aim to keep Maxwriter reliable and available but do not guarantee uninterrupted or error-free access. The service may occasionally be unavailable because of maintenance, technical problems, security incidents, third-party provider outages, API changes, or circumstances outside our reasonable control.
We may modify, add, limit, suspend, or discontinue features where reasonably necessary. This includes situations where a third-party platform or service provider changes its APIs, policies, access requirements, or functionality. We may also offer experimental or beta features, which may change or stop working without notice.
13. Termination
You may stop using Maxwriter and delete your account at any time. If you have a paid subscription, deleting your account or cancelling your subscription does not automatically entitle you to a refund except where required by law.
We may suspend or terminate your account if you materially breach these Terms, misuse the service, fail to pay applicable fees, create security or legal risk, or use Maxwriter in a manner that could harm Maxwriter, our users, or third parties. Where reasonably possible, we will provide notice before terminating an account for reasons other than urgent security, legal, fraud, or abuse concerns.
Provisions that by their nature should continue after termination, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and governing law, will remain in effect.
14. Disclaimers
Maxwriter is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, we do not warrant that:
- Maxwriter will always be available or error-free;
- AI-generated content will always be accurate or suitable for a particular purpose;
- publicly available third-party information will always be accurate, complete, or current;
- third-party integrations or data sources will remain available;
- content created using Maxwriter will achieve particular performance or business results; or
- every Maxwriter feature will continue to operate in its current form.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Gearro, UAB and Maxwriter will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, or data arising from or related to your use of Maxwriter.
We are not responsible for actions taken by independent third-party services, including LinkedIn or other platforms, such as account restrictions, API interruptions, changes in functionality, removal of content, or enforcement decisions, except where liability cannot legally be excluded. Nothing in these Terms excludes or limits liability where doing so would be unlawful.
16. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Gearro, UAB and its officers, employees, and agents from and against any third-party claims, damages, losses, liabilities, and reasonable expenses arising out of or related to: (a) content you create, publish, or transmit through Maxwriter; (b) your use of Maxwriter, including your use of any LinkedIn or other third-party integration; or (c) your breach of these Terms or violation of applicable law or any third party’s rights or terms.
This section does not apply to the extent a claim arises from our own unlawful conduct, and nothing in it limits any mandatory rights you have as a consumer under applicable law.
17. Changes to These Terms
We may update these Terms as Maxwriter evolves or where changes are necessary for legal, regulatory, security, operational, or product reasons. When we make material changes, we will update the “Last updated” date and, where appropriate, notify users through Maxwriter or by email. Your continued use of Maxwriter after updated Terms become effective means you accept the updated Terms, except where applicable law requires a different form of consent.
18. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Lithuania. Any dispute relating to these Terms or Maxwriter will be subject to the competent courts of Lithuania, unless mandatory applicable law gives you the right to bring a claim in another jurisdiction. If you are a consumer, nothing in this section limits any mandatory rights or protections available to you under applicable consumer law.
19. General Terms
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply. Our failure to enforce a provision of these Terms does not waive our right to enforce it later. You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer these Terms as part of a merger, acquisition, corporate restructuring, or transfer of the Maxwriter business, subject to applicable law.
These Terms, together with our Privacy Policy and any additional terms presented for specific features, constitute the agreement between you and Gearro, UAB regarding your use of Maxwriter.
